These terms of delivery apply to all offers, quotations, services and agreements of Boratech, located at [place of business] and accessible at https://www.boratech.nl.

1. Algemeen

1.1 By using our services or placing an order, you agree to be bound by these terms and conditions.
1.2 Deviations from these terms and conditions are valid only if agreed in writing.

2. Aanbiedingen en offertes

2.1 All offers and quotations of Boratech are without obligation, unless expressly stated otherwise.
2.2 Boratech reserves the right to change prices, for example due to legal changes or market conditions.

3. Totstandkoming van de overeenkomst

3.1 An agreement comes into effect as soon as Boratech confirms the order in writing or by e-mail, or as soon as Boratech has started the execution.

4. Levering en uitvoering

4.1 Boratech will make every effort to deliver the agreed services or products within the agreed period.
4.2 Deadlines are indicative and exceeding them does not entitle you to compensation or dissolution, unless expressly agreed in writing.
4.3 Delivery will be made at the agreed address or digitally, depending on the nature of the service.

5. Betaling

5.1 Invoices must be paid within 14 days of the invoice date, unless otherwise agreed in writing.
5.2 If the payment term is exceeded, the customer is automatically in default and collection costs may be charged.

6. Aansprakelijkheid

6.1 Boratech shall not be liable for indirect damages, consequential damages or lost profits.
6.2 Boratech’s liability shall be limited to the amount paid by the customer for the relevant service or delivery.

7. Overmacht

7.1 In case of force majeure (such as breakdowns, government measures, illness, war, etc.) Boratech is entitled to suspend or dissolve the agreement without liability for damages.

8. Intellectuele eigendom

8.1 All products, designs, texts, software and advice delivered by Boratech will remain the property of Boratech, unless otherwise agreed.
8.2 The customer is not allowed to copy, distribute or reuse material of Boratech without permission.

9. Klachten en geschillen

9.1 Complaints must be reported in writing within 7 days of delivery.
9.2 All agreements are governed by Dutch law. Disputes will be submitted to the competent court in Boratech’s place of business.
